You can download the Max to MDL Plugin from the downloadpage (http://www.conitec.net/english/gstudio/download.php)

Be sure your model has a valid skin-texture before you export.

I tried that exporter for my version of Max 6 but when exporting it kept saying

No material and then failing to export, even though i had applied one in the Material editor, any ideas?

that's because you have to apply material to all objects that are in your scene

I have one box, with a simple bitmap assigned to it. and still says the message. :

if you want to see an engine preview you have to save it as an mdl fil first

ok... a plain material is not enough, u also have to put a texture in this material (material editor-->maps-->diffuse color-->bitmap).
use bmp,pcx,tga or dds-format and use a texture resolution like 256*256, 512*512, 1024*1024 etc...
