I use the Autodesk FBX Exporter 2006.08 with the checkboxes of export options "Geometry, Shapes (Morph modifiers), Skins (Skin modifiers), Animation" checked and the Misc Options 30,000000 "Resampling rate" and "export to version" FBX200608 and "Conversion Method" Convert Animation.
You should check all meshes to be sure they are all converted to editable meshes before exporting to FBX and also make sure you use in MAX and MED the same FBX version to export and import (FBX200608).
